Part I: Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you and Automated Core Solutions LLC (doing business as "Neuraify," "Company," "we," "us," or "our"), governing your access to and use of the Neuraify ecosystem, including our websites and the specialized Neuraify Edu platform.

1. Eligibility and Authority

1.1 Binding Agreement

You may use the Services only if you are legally capable of entering into a binding agreement.

1.2 Children Under 13

The Services are not directed to children under 13, and we comply with all COPPA requirements regarding parental consent.

2. Description of Services & Single Purpose

2.1 Organizational Focus

Neuraify Edu provides AI-assisted educational productivity and advanced organizational tools designed to help students categorize, track, and manage academic workloads.

2.2 Browser Extension Purpose

The Neuraify Edu browser extension serves the single purpose of synchronizing academic assignment and course data from authorized Learning Management Systems (LMS) to your study dashboard.

2.3 Modification of Services

We reserve the right to modify, update, or discontinue any portion of the Services at any time to improve functionality or comply with regulations.

3. Academic Integrity & Account Termination

3.1 User Responsibility

You are solely responsible for ensuring your use of the Services complies with your institution's academic integrity rules and syllabi.

3.2 Prohibited Use

You may not use the Services to complete exams, bypass proctoring tools, or facilitate plagiarism.

3.3 Termination Rights (The "Kill Switch")

We reserve the right to immediately suspend or terminate accounts for academic dishonesty, system abuse, reverse engineering, or violations of these Terms.

4. Intellectual Property (IP)

4.1 Neuraify Ownership

The platform, code, branding, and workflows remain the exclusive property of Automated Core Solutions LLC.

4.2 User Content

You retain ownership of your uploaded "User Content".

4.3 Processing License

You grant us a worldwide, royalty-free license to host, store, and process User Content solely to provide and improve Service functionality.

5. Payments, Subscriptions, and Refunds (Stripe Integrated)

5.1 Pricing

Certain Services require a subscription, priced at $20.00 USD per month.

5.2 Payment Processor

All billing and subscription management are processed securely through Stripe.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless canceled before the next renewal date.

5.4 Cancellation

You may cancel at any time via your account settings; access remains until the end of the current billing cycle.

5.5 Refund Policy

All payments are final and non-refundable, following standard Stripe-integrated practices, except where required by law.

6. Professional Shield & Disclaimers

6.1 No Outcome Guarantees

We do not warrant or guarantee specific academic outcomes, grades, or institutional results.

6.2 AI Accuracy

AI output may be inaccurate; you are responsible for verifying all generated content independently.

6.3 Limitation of Liability

Our total liability will not exceed $100 USD or the amount paid in the twelve months before the event.

7. Standard Legal Provisions

7.1 Indemnification

You agree to defend and hold harmless Automated Core Solutions LLC from any claims arising out of your use of the Services or violation of these Terms.

7.2 Dispute Resolution

All disputes will be resolved through final and binding arbitration rather than in court, and you waive the right to participate in a class-action lawsuit.

7.3 Governing Law

These Terms are governed by the laws of the State of Georgia.

7.4 Force Majeure

We are not liable for service delays or failures caused by events outside our control, such as cloud outages or internet infrastructure failures.

Part II: Privacy Policy

1. General Privacy & Data Collection

1.1 Information Collection

We collect email addresses and account credentials for authentication and subscription management.

1.2 Analytics

We use cookies and basic performance monitoring to improve service stability and organizational features.

2. Neuraify Edu Supplemental Policy (Extension)

2.1 LMS Synchronization

The extension reads course names and assignment details from your authenticated LMS session.

2.2 Zero-Credential Storage

We do not collect or store your LMS passwords; the extension utilizes your existing browser session for authorization.

2.3 Google API "Limited Use"

We adhere to the Google API Services User Data Policy, ensuring data accessed via the extension is used strictly for user-facing features and is never sold.

3. Student Data Protections (FERPA & COPPA)

3.1 FERPA Compliance

Automated Core Solutions LLC acts as a "School Official" under FERPA with a legitimate educational interest in organizing academic data.

3.2 Non-Commercialization

We do not use personally identifiable information from student records for advertising or sale to third parties.

3.3 COPPA Compliance

We do not knowingly collect personal information from children under 13 without verifiable consent.

4. Data Portability, Export, and Erasure

4.1 User Control

Users can manage their data directly within the Settings section of the application dashboard.

4.2 Data Export

You have the right to save or export your synced academic data (portability) at any time via the Settings menu.

4.3 Permanent Deletion

You may choose to delete all data and your account permanently within the Settings section.
