These Terms of Service ("Terms") form a legally binding agreement between you and Neuraify, Inc. ("Neuraify," "Company," "we," "us," or "our"), governing your access to and use of the Neuraify Edu platform, including our websites, browser extensions, web applications, software, AI tools, overlays, content, documents, communications, integrations, and related services (collectively, the "Services").
By accessing or using the Services, creating an account, installing our browser extension, uploading content, clicking to accept these Terms, or otherwise using any portion of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.
You may use the Services only if you:
The Services are not directed to children under 13, and we do not knowingly permit children under 13 to create accounts or provide personal information unless expressly supported through a separate, legally compliant process with any required parental consent.
Neuraify Edu provides AI-assisted educational productivity, study support, organizational, and workflow tools. Depending on the features made available in your plan, the Services may include:
The Services are intended to support learning, organization, productivity, and educational assistance. They are not a substitute for your own judgment, academic responsibility, instructor guidance, institutional policy compliance, or independent authorship obligations.
Neuraify Edu is designed to support lawful, ethical, and academically authorized learning, study, organization, and educational productivity workflows. By using the Services, you acknowledge and agree that you are solely responsible for ensuring that your use of the Services is permitted under all applicable academic integrity rules, honor codes, school and institutional policies, course syllabi, instructor directions, exam rules, and other educational requirements.
Subject to these Terms, you may use the Services for lawful educational and productivity purposes, including studying, organizing assignments, generating notes, brainstorming, outlining, reviewing materials, summarizing content, and preparing draft support materials where such use is permitted.
You may not use the Services to:
You are solely responsible for determining whether your use of the Services is authorized in your educational setting, reviewing and verifying all content generated through the Services, and assuming all consequences arising from your use of any output.
You acknowledge that misuse of AI or educational productivity tools in academic contexts may result in serious consequences, including failing grades, academic probation, suspension, expulsion, scholarship loss, and reputational harm. You knowingly and voluntarily assume all risk arising from your use of the Services.
The Services may generate or suggest content through artificial intelligence, machine learning, automation, analytics, or similar computational methods ("AI Output"). AI Output may be inaccurate, incomplete, misleading, outdated, biased, or unsuitable for your intended purpose.
You are solely responsible for reviewing, verifying, editing, and exercising independent judgment before relying on, acting on, or submitting any AI Output. Neuraify does not warrant that any AI Output will be original, compliant with institutional rules, free from third-party similarities, factually correct, or acceptable in any academic context.
To access certain features, you may be required to create an account. You agree to provide accurate information, maintain the confidentiality of your credentials, and notify us immediately of any unauthorized use. You may not share accounts, create accounts using false identities, or evade suspensions.
"User Content" means any information, text, prompts, files, assignments, documents, submissions, media, code, feedback, data, or other content that you upload, submit, sync, transmit, or otherwise make available through the Services.
As between you and Neuraify, you retain whatever ownership rights you may have in your User Content, subject to the rights you grant us in these Terms.
You grant Neuraify a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, and otherwise use User Content as necessary to provide and improve the Services, comply with applicable law, and create aggregated or de-identified analytics.
If the Services are provided through a school, district, college, university, educator, or institution, additional agreements may apply. Neuraify acts as a service provider and processes student data solely to provide and support the Services. Neuraify does not sell student data or use it for advertising purposes.
You agree not to: use the Services in violation of applicable law; reverse engineer the Services; bypass plan limitations or security measures; scrape or harvest information without authorization; use bots or automation to access the Services in an unauthorized manner; upload malware; or commercially exploit the Services unless expressly authorized.
The Services may interoperate with third-party platforms, APIs, school systems, or software. Your use of Third-Party Services is governed by the terms and policies of those providers. Neuraify is not responsible for the availability, functionality, security, or legality of Third-Party Services.
Certain Services require payment of subscription fees. Subscriptions automatically renew for the same billing period unless canceled before renewal. Except where required by law, all payments are final and non-refundable. We may change pricing with notice as required by law. You are responsible for all applicable taxes.
The Services, including all software, interfaces, workflows, features, branding, models, and designs, are owned by Neuraify and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, internal, or otherwise authorized use.
To the extent permitted by applicable law, as between you and Neuraify, we assign to you any rights we may have in AI Output generated specifically for you through the Services. Because AI systems can generate similar content for multiple users, you acknowledge that outputs may not be unique.
Our collection, use, storage, and disclosure of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.
We may provide certain features designated as alpha, beta, preview, early access, or experimental. These features may be incomplete, unstable, or subject to additional terms. We may modify, suspend, or discontinue beta features at any time without liability.
We may modify, update, suspend, or discontinue any part of the Services at any time, with or without notice, including features, integrations, product structure, model selections, supported environments, and plan offerings. We do not guarantee uninterrupted availability or compatibility with any browser or device.
You may stop using the Services at any time. We may suspend, restrict, disable, or terminate your access immediately, with or without notice, if you violate these Terms, we suspect cheating or fraud, your payment is overdue, or we are required to do so by law. Provisions that by their nature should survive termination will survive.
To the maximum extent permitted by law, the Services are provided "as is," "as available," and "with all faults." Neuraify and its affiliates disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and availability.
To the maximum extent permitted by law, Neuraify and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, educational opportunity, grade, or other intangible losses. Total aggregate liability will not exceed the greater of: the amount you paid in the twelve months before the event or $100 USD.
You agree to defend, indemnify, and hold harmless Neuraify and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to your use or misuse of the Services, your User Content, or your violation of these Terms.
Before filing a claim, you agree to first attempt informal resolution. Except for small claims court matters or injunctive relief claims, disputes will be resolved by final and binding arbitration. To the maximum extent permitted by law, each party may bring claims only in an individual capacity and not as part of a class action.
These Terms and any dispute arising out of or relating to them or the Services will be governed by the laws of the State of Georgia, without regard to conflict-of-laws principles.
We may revise these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms, revising the "Last Updated" date, sending an email, or displaying an in-product notice. Your continued use of the Services after revised Terms become effective constitutes your acceptance of the updated Terms.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Neuraify. If any provision is held invalid, the remaining provisions remain in full force. You may not assign these Terms without our prior written consent.
